PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING VARIOUS LIMITATIONS AND EXCLUSIONS, AND A DISPUTE RESOLUTION CLAUSE THAT GOVERNS HOW DISPUTES WILL BE RESOLVED.

1. Acceptance of Terms

By accessing or using the SkillChain decentralized application, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

SkillChain provides a suite of Web3 professional networking tools, on-chain credential verifications, portfolio showcases, job and gig opportunities, and milestone-based smart contract escrows built on the Solana blockchain. The Service is decentralized, meaning SkillChain does not control your assets, your private keys, or the execution of smart contracts on the blockchain.

3. Eligibility and Access

You must be at least 18 years of age to use the Service. You represent and warrant that you are not a citizen or resident of any jurisdiction where the use of the Service is prohibited by law. Access to certain features requires a Solana wallet connection, and the platform integrates seamlessly with Solana Mobile devices (such as the Solana Seeker) using Web3 standard interfaces.

4. Wallet Security and User Responsibility

You are solely responsible for the security of your Solana wallet and the private keys stored in your device's Seed Vault or private key manager. You may also connect using authentication providers such as Privy or Google Sign-In. SkillChain will never ask for your seed phrase or private keys. You agree that:

You will not share your private keys, seed phrase, or authentication credentials with anyone.
You are responsible for all activities that occur under your wallet address or logged-in account.
We are not responsible for any loss of funds or assets resulting from compromised keys, forgotten passwords, or user error.

5. Assumption of Risk

By using SkillChain, you acknowledge and accept the following risks associated with blockchain technology:

Asset Volatility: Digital assets (including SOL and SKR) are highly volatile. You may lose the entire value of your tokens.
Smart Contract Risk: While our escrow codes are built to standard, smart contracts can contain vulnerabilities. You use them at your own risk.
Regulatory Risk: Changes in laws and regulations may impact our ability to display or support certain features of the Service.
Blockchain Performance: We are not responsible for network congestion, transaction failures, or delays on the Solana network.

6. Prohibited Activities

You agree not to use the Service to:

Provide false, misleading, or fraudulent professional information, skills, or portfolio items.
Impersonate another person, developer, or organization.
Violate any local, state, national, or international law, including illegal financial activities.
Distribute malicious software, viruses, or engage in scraping and phishing.
Harass, threaten, or infringe upon the intellectual property rights of other users.

7. Intellectual Property

The SkillChain platform technology, branding, logo, and website design are the properties of the SkillChain project. You retain ownership of any professional content (resumes, portfolios, achievements) you upload or publish through the platform, but you grant SkillChain a worldwide, non-exclusive, royalty-free license to display and distribute such content solely for the purpose of operating and improving the Services.

8. Payments, Fees, and Taxes

SkillChain may facilitate transactions using digital assets (such as SOL and SKR) for professional gig escrows or rewards. SkillChain is not a bank, financial institution, broker-dealer, or money transmitter. You are solely responsible for identifying and paying any taxes applicable to your use of the Service.

9. No Professional or Financial Advice

Nothing on SkillChain constitutes financial, legal, tax, or employment advice. SkillChain does not guarantee employment, contract awards, or the performance/accuracy of any user or developer representations on the platform.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLCHAIN AND ITS CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT PAID BY YOU TO SKILLCHAIN DURING THE PREVIOUS 12 MONTHS.

11. Indemnification

You agree to indemnify and hold harmless SkillChain and its contributors from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses arising out of or in any way connected with your access to or use of the Service, your content, or your violation of these Terms.

12. Dispute Resolution and Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction determined by the SkillChain project, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.

13. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service at any time. We also reserve the right to revise these Terms. Your continued use of the Service following any updates constitutes your acceptance of the revised Terms.
